Clear terms for working together.
These terms describe how Manglam Technical Agency provides its services. A written proposal or scope document may add project-specific terms; where they differ, the written proposal applies.
1. Services and scope
We design and build websites, applications, automation workflows, marketing systems, and related analytics. Every engagement starts with a written scope describing deliverables, milestones, timelines, and client responsibilities. Work outside the agreed scope is estimated and approved separately before it begins.
2. Fees and payments
Fees, payment milestones, and schedules are set out in the written proposal for each project. Invoices are payable within the period stated on the invoice. Work may pause if overdue amounts remain unpaid after reasonable notice, and delivery timelines extend accordingly.
3. Intellectual property
On full payment of the agreed fees, the client receives ownership of the final deliverables created specifically for them, including website designs, copy written for the project, and custom code. We retain ownership of our pre-existing tools, libraries, processes, and general know-how, and may reuse non-confidential techniques learned during the engagement. Third-party platforms, fonts, plugins, and stock assets remain subject to their own licences.
4. Confidentiality
Each party treats non-public information received from the other as confidential and uses it only to deliver or receive the services. If your organisation requires a signed non-disclosure agreement before sharing sensitive material, contact us and we will arrange one.
5. Liability
To the maximum extent permitted by law, our total liability for any claim arising from an engagement is limited to the fees paid for the project giving rise to the claim. We are not liable for indirect losses such as lost profits, lost revenue, or loss of data beyond what we directly control.
6. Governing law
These terms are governed by the laws of India. Disputes are subject to the jurisdiction of the courts at Bikaner, Rajasthan, unless the written proposal specifies another forum.
